- Estimates are valid for 20 days.
- All work is billed on a per project basis. We really don’t like hourly work.
- A non-refundable fee of 50% is required up front before commencement of any work as a retainer for services. The remaining 50% will be due upon satisfactory completion of the project.
- Estimates are based on the information provided at the time of initial proposal and may be subject to change if additional work is required.
- Changes requested beyond the original scope of the project will be charged at an hourly rate of $150/hr.
- Stock photography may be purchased from iStockphoto if necessary for completion of project. Clients will be billed actual cost of photos, without markup.
- Invoice payments are due upon receipt and shall be considered late if payment is not received within 10 days of invoice date.
- Unpaid balances beyond 30 days will freeze project work. Project shall resume upon payment of entire outstanding project balance.
- We keep fairly scheduled operating hours between 12 noon and 6pm CST Monday through Friday. The quickest way to reach us is via email.
- We typically don’t work on weekends or major holidays. If overtime work is requested, the client will be charged at an hourly rate of $150 per hour, plus an additional $75 per hour for after hours service.
- Logo/Branding work necessary for project completion may be accomplished via contract labor.
- Websites are designed to work with current technologies and browser versions. If future changes to technology or browsers cause website errors, we can repair these errors at the standard hourly rate.
- We guarantee compatibility with Firefox, Safari, and Internet Explorer 7.
- Search Engine Optimization services are not included within website development quotes unless noted.
- Estimated completion dates may change due to unforeseen circumstances, delays in client response times, or excessive design changes.
- It is understood that we are independent professional contractors and that we will not in any event be construed as or held out as employees of the client. It is further agreed that at no time will our time or any work efforts be under the supervision or control of the client, although we agree to comply with all reasonable requests and regulations applicable to any other business invitation. It is also agreed that as independent contractors, we are not restricted to working exclusively for one client during the term of the agreement.
- Ownership of the designs and development code remain property of Esoteric Studio until such time as all monies are received.
- We retain the right to use any works for self promotional purposes.
- Work that is refused by you, or remains unpaid, will remain property of Esoteric Studio and cannot be used in whole or in part by the client.
- We will not be responsible for any damage, loss, or liability the client or any third party may suffer. This includes loss of revenue, profits or data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by our team or otherwise.
- Either party may terminate our contract without cause upon thirty (30) days written notification to the other party. We may terminate this agreement immediately upon the refusal to, or inability to perform under the contract or a breach of the contract. Furthermore, the contract shall be terminated should any member of our team die. On termination of the contract, your obligation to pay us, except for services already accrued or incurred, will forthwith cease and terminate.
- The purchaser is deemed to have read and accepted these terms and conditions on receipt of payment.
- These Terms and Conditions supersede all previous representations, contracts, understandings or agreements, unless specifically agreed otherwise by both Parties, in writing.
